Commerzbank: UniCredit Clears One Hurdle, But the Finish Line Is Still Months Away

Commerzbank shareholders now have two separate calendars to watch. One belongs to UniCredit, which won a key regulatory green light this week but still expects to spend the rest of the year closing its offer. The other belongs to Commerzbank itself, which will publish third-quarter 2026 results on November 5.

The distinction matters more than it might appear. UniCredit confirmed it has received European Central Bank approval to push past the 30% stake threshold in Commerzbank and raise its holding without a cap. Once the remaining steps are complete, the Italian lender expects to hold roughly 50% of the voting rights. That figure describes an intended destination, not a reached one — the outstanding regulatory procedures and offer conditions are not expected to wrap up until year-end, according to the company's own guidance, which Tagesschau also reported.

An Approval Is Not a Takeover

For investors, the gap between permission and completion is the crux. The ECB decision removes a supervisory obstacle and opens the door to control, but it does not substitute for the steps still pending. UniCredit's stated timeline remains a corporate expectation rather than a finished outcome.

Commerzbank's own capital activity forms a parallel track. In its buyback roughly two weeks ago, the bank repurchased 2,987,942 of its own shares, bringing the total bought back under the program to 11,114,083. That program, the control question and the analyst assessments each speak to a different part of the investment case.

Should investors sell immediately? Or is it worth buying Commerzbank?

Two Analyst Moves, No Buy Ratings

On the research side, the tone stays measured. Deutsche Bank Research reiterated its "Hold" rating on Commerzbank yesterday, keeping its price target at EUR 42. RBC Capital Markets had already lifted its target from EUR 40 to EUR 41 on Tuesday, while leaving its rating at "Sector Perform."

Neither move amounts to a buy recommendation. One house nudged its target higher, the other held its valuation steady — and the gap between an adjusted target and an unchanged rating is what investors should weigh. RBC's revision also came before the latest ECB approval, so it should not be read as a response to that development.

The Timing of Tuesday's Slide

Commerzbank shares closed yesterday at EUR 37.82, weaker on the day. The ECB approval announcement, however, only landed after the Xetra close. That sequencing rules it out as the trigger for the earlier decline — the completed trading session and the subsequent corporate news need to be assessed separately, and the day's loss alone says nothing about how the market views the green light.

Commerzbank at a turning point? This analysis reveals what investors need to know now.

What lies ahead is a clearer test. The November 5 earnings release will give investors a fresh read on the operating business, standing alongside the regulatory headlines as an additional valuation anchor. Analyst targets, for their part, remain estimates rather than promises about where the stock goes next. The ECB permission has made the path to a larger stake more concrete; whether and when it turns into the targeted voting position still depends on the steps UniCredit has yet to complete.
