    The decision of the Annual Shareholders' Meeting of MEDION AG on November 12, 2024 regarding the transfer of the shares of the remaining shareholders (minority shareholders) to Lenovo Germany Holding GmbH, based in Essen (principal shareholder), in accordance with the procedure for excluding minority shareholders (§§ Sections 327a et seq. of the German Stock Corporation Act (AktG) in exchange for an appropriate cash settlement to be paid by the majority shareholder in the amount of EUR 14.28 per no-par value bearer share of MEDION AG was entered in the commercial register of the Essen District Court today.   With the entry of the transfer decision in the commercial register, ownership of all shares of the minority shareholders of MEDION AG has been transferred to Lenovo Germany Holding GmbH.   The stock exchange listing of MEDION AG shares will be discontinued shortly.   The modalities of the payment of the cash compensation will be published separately in the Federal Gazette in the near future.     Essen, January 6, 2025   MEDION AG The Management Board
