Ad hoc announcement pursuant to Art. 53 LR Bronschhofen, December 12, 2024 – Cicor Group (SIX Swiss Exchange: CICN) announces today that OEP 80 B.V. (OEP) published the offer prospectus for the announced mandatory offer for all the shares of Cicor Technologies Ltd. held in the public. OEP needs to publish an offer after it converted its Mandatory Convertible Bonds (MCNs) and thereby crossed the mandatory offer threshold. The offer price amounts to CHF 55.17 per share, which represents the minimum price. On the day of the pre-announcement, this was 7.12% below the last closing price at SIX. The prospectus is available online: https://cicor-offer.ch. The offer is expected to settle on February 28, 2025. Cicor has formed a committee of the independent board members to assess the offer. IFBC has provided a fairness opinion and determined a fair price range of between CHF 92.02 and CHF 121.45 per share. The offer price is substantially below this range.
